The Observers Collector Licence

This is an agreement between Ryan Annett (the “Artist”) and the lawful owner of an authentic The Observers NFT (the “Collector”). By minting, purchasing or using an Observer under these terms, the Collector accepts this licence.

1. What you own

You own the NFT recorded on the blockchain. The Artist retains all copyright, moral rights and other intellectual-property rights in the original artwork, The Observers collection, the OBSERVE name and symbol, and each underlying Observer image, except for the limited licence granted below.

2. Rights granted with your Observer

While you lawfully own the NFT, you receive a worldwide, non-exclusive licence to display, reproduce, adapt and commercially use only the specific Observer connected to that NFT. You may use it in personal displays, social media, physical or digital merchandise, publications and original creative projects.

You may hire printers, designers or other service providers solely to produce your permitted work, but you may not sell or sublicense the Observer image by itself.

3. The $5,000 commercial threshold

The first US$5,000 in cumulative Gross Commercial Revenue generated from each specific Observer is royalty-free. Once cumulative Gross Commercial Revenue for that Observer exceeds US$5,000, the Collector must pay the Artist 10% of the portion above US$5,000.

ExampleIf one Observer generates US$8,000 in Gross Commercial Revenue, the royalty is 10% of US$3,000: US$300.

4. What “Gross Commercial Revenue” means

Gross Commercial Revenue means all money or other value actually received from products, services, content, licensing or promotions that use the Observer, before expenses or profit calculations. Documented refunds, chargebacks, sales taxes and value-added taxes are excluded. Revenue is counted cumulatively per Observer, across all uses by the current Collector.

5. Reporting and payment

The Collector must notify the Artist within 30 days after an Observer first exceeds US$5,000 in cumulative Gross Commercial Revenue. After crossing the threshold, the Collector must provide a good-faith revenue statement and pay amounts due within 30 days after each calendar quarter. Records supporting the statements must be retained for three years and provided for reasonable verification no more than once per year, subject to confidentiality.

Reports and payment arrangements will be made through the official project contact. The project’s designated royalty wallet is 0x93974f87E801b87d9d6a6638E8584eeeBea356AA. A wallet transfer is not required unless the Artist supplies written payment instructions.

6. NFT resale royalty

Eligible secondary NFT sales carry a 10% creator royalty to the Artist. The collection contract will communicate this royalty to marketplaces that support the applicable royalty standard. Marketplace support and payment may vary; this licence does not promise that every marketplace will collect it automatically.

7. Rights that transfer with the NFT

This commercial licence follows lawful ownership of the NFT. When the NFT is sold or transferred, the former owner’s licence ends and the new owner becomes eligible for the licence. Amounts already due remain payable. The US$5,000 threshold is cumulative for the Observer and does not reset when the NFT changes hands.

8. Limits

The licence does not permit use of the full original painting, another Observer, the collection banner, project logo or other brand assets unless the Artist gives separate written permission. The Collector may not use an Observer for unlawful activity, hate or harassment; falsely claim authorship; imply the Artist’s endorsement; register the Observer or OBSERVE branding as a trademark; or use it in a way that materially harms the collection or Artist.

9. Derivative work

The Collector may create original adaptations of the owned Observer. The Collector owns their new contributions, while the underlying Observer remains the Artist’s copyrighted work and subject to this licence.

10. Breach and termination

If the Collector materially breaches this licence and does not cure the breach within 30 days after written notice, the commercial licence terminates. Termination does not remove ownership of the NFT and does not erase payment or reporting obligations already incurred.

11. Law and changes

This licence is governed by the laws of New Brunswick and the federal laws of Canada applicable there. The version accepted at mint or purchase governs that transaction. Material changes will not retroactively reduce rights already granted without the Collector’s agreement.

12. Rare Observer reward

One Origin Born card, designated by the Artist before the public mint, carries a one-time physical reward. The identity of the designated Origin Born card remains undisclosed until it is minted. The first lawful collector to mint that card may claim a new, one-of-one 16 × 20-inch original canvas painting created and hand-signed by Ryan Annett, featuring that Observer, together with a signed certificate of authenticity.

The Artist will cover standard shipping to the claimant and will create and ship the painting within six months after receiving a valid claim and the information reasonably required for delivery. Import duties, taxes or exceptional delivery charges are not included unless the Artist agrees otherwise in writing.

There is no claim deadline. To make a valid claim, the claimant must control the wallet holding the designated Origin Born NFT and complete a wallet-signature verification requested through the official project contact. If the NFT is transferred before the reward is validly claimed, the unclaimed right passes to the new lawful owner. Once a valid claim is accepted, the reward is considered claimed and does not become available again if the NFT is later transferred.
